Terms & Conditions for SGBC Membership

By applying for Membership to the Singapore Green Building Council (SGBC), you and your organisation agrees to the following terms and conditions of membership (collectively “you”):

Membership Qualification & Rights

When you join SGBC, you are also subscribing to a service from Singapore Green Building Council, and the word “Member” or “membership”, in addition to bearing the meaning as defined below, also refers to your subscription and status as subscriber of the services of SGBC.

These terms and conditions, in addition to setting out your obligations as a Member, also form the basis of your contract with SGBC and the terms on which such services will be delivered.

Corporate Membership

SGBC Membership is open to the following organisations:

  • Product Companies
  • Professional Building and Environmental Consultancies
  • Builders and Contractors
  • Real Estate Owners and Developers
  • Property/ Facility Management and Real Estate Services
  • Professional Bodies, Trade Associations and Chambers
  • Research and Tertiary Institutions
  • Government Agencies
  • Energy Services Specialists
  • Testing Laboratories

 

Each corporate member shall nominate one person to represent it and be the main contact person in all interactions with SGBC. The representative shall be adequately authorised by the Member and possess the requisite expertise, professional background and experience at management level of the Member and be eligible to vote and hold office in SGBC.

The representative shall also be a person of good and upright character, of sound mind and not an undischarged bankrupt. In the event that this person is unable to fulfil the duty of representing the Member, the Member shall be responsible for nominating another person as replacement by sending in a formal letter to SGBC. In order for a change of representative to be effective for the purposes of exercising the Member’s vote, the letter notifying SGBC of the change must be received by SGBC at least 14 working days before the date of the vote (via email or as otherwise directed by SGBC).

The SGBC Board shall reserve the right to appoint any Member to fill any vacancy for the office bearers that may occur during any year of office provided that such Member appointed shall hold office until the next election.

Application for Membership

An organisation wishing to join SGBC should submit its particulars at www.sgbc.sg.

The SGBC Board will decide all disputes and matters pertaining to applications for membership.

If approved and subject to SGBC’s receipt of the membership fee payment, the applicant for membership receives a welcome message as a new Member with the SGBC Membership Certificate. Applicants who are not approved will be contacted either with a request for further information or informing the applicant of the decision to decline the application.

A copy of SGBC’s Constitution shall be made available in the Members’ resource library to every approved Member after membership has been activated.

SGBC reserves its right not to fulfil or to cancel a member application at any time. If you are accepted as a Member and it subsequently turns out that any or all of the information, you provided was misleading or false: we reserve the right to revoke the membership with immediate effect, without the right of appeal.

Entrance Fees, Subscriptions & Other Dues

The Membership fees shall be determined at the General Meeting on recommendation from the SGBC Board from time to time.

Annual subscriptions are payable in advance within the first month of the financial year. If a Member falls into arrears with his subscription or other dues, he/she shall be informed immediately by SGBC.

If a Member fails to settle his arrears within six (6) weeks of their becoming due, SGBC may broadcast by electronic mail or via a notice published on the Council’s website that the Member be denied the privileges of membership until he settles his account. If he/she falls into arrears for more than 3 months’ dues, he will automatically cease to be a Member and SGBC may take legal action against him provided that they are satisfied that he has received due notice of his debts.

Except for funds raised from Members through voluntary contributions, any mandatory additional funds required for special purposes may only be raised from Members with the consent of the General Meeting of the Members.

Every applicant for Membership shall submit with his application form the entrance fee and the full amount of the annual subscription payable in respect of the financial year in which the application is made provided always that where an application is submitted after the midpoint of any financial year, the applicant shall be liable to pay only one-half of the annual subscription payable in respect of that financial year.

Events

Members may be invited to events organised by SGBC or by our partners if such events are relevant to their businesses and/or services provided e.g. educational and networking opportunities. Our events may be subject to separate terms and conditions. Please check these at the time of booking.

Liability & Other Terms

Our liability to Members and all users of the website will not extend to any Membership related benefits, goods or services provided by an external provider. We specifically exclude liability for any loss or damage suffered by a Member as a result of her/his involvement in whatever manner with an external provider.

We shall not be liable in any way whatsoever for loss of profits, loss of sales or business, loss of agreements or contracts, loss of anticipated savings, loss of use or corruption of software, data or information, loss of or damage to goodwill, indirect or consequential loss however caused or arising and regardless of whether the liability arises in contract, warranty, tort (including but not limited to negligence, whether active, passive, sole, joint, or concurrent), strict liability, products liability, professional liability, indemnity, contribution or any other theory or cause of action; or amounts any Member has recovered or will recover from any insurer (or would have recovered but for an act, omission, breach or default by the Member in relation to a policy of insurance). Nothing herein creates a joint venture, partnership, relationship of employment or agency between the parties. Neither party has authority to contract on behalf of or bind the other.

We are committed to conducting business in an ethical manner and expect all our employees and parties we have a relationship with to conduct themselves with high ethical standards and to comply with applicable laws for the suppression of corrupt practices (“Anti-Corruption Laws”). Members represent and warrant that, to the best of its knowledge, neither it nor any person who (by reference to all relevant circumstances) performs services or acts for or on its behalf in any capacity (including, without limitation, employees, agents, related corporations and subcontractors) (“Representatives”) has contravened, or procured or encouraged third parties (including, for the avoidance of doubt, the employees of or any person acting on our behalf) to contravene, any Anti-Corruption Laws in connection with membership. Members shall immediately notify Singapore Green Building Council if any person employed by us or acting on our behalf or any of Member’s Representatives, has contravened or attempted to contravene any Anti-Corruption Laws in connection with membership, and shall take adequate steps to protect our interest and those the Members. All notices to Singapore Green Building Council in this regard should be sent to the Executive Director, Singapore Green Building Council at the following email address [email protected]. We shall be entitled to terminate membership forthwith if a Member or any of its Representatives has contravened or attempted to contravene any Anti-Corruption Laws, whether in connection with membership or otherwise. Such termination shall be without prejudice to our other rights and remedies whether under this Agreement or otherwise.

Personal Data Consent

We reserve the right to collect, use, disclose and/or process personal data about the Company/ Applicant have previously, now and may in the future provide to SGBC including but not limited to Company/ Applicant’s name, email address, telephone numbers, address, employment details for the following purposes:

  • facilitating, processing, dealing with, administering, managing and/or maintaining the Company/ Applicant current employer’s relationship with SGBC’s;
  • dealing in any matters relating to SGBC’s products, services and activities;
  • carrying out due diligence and other screening activities, or to prevent or investigate any fraud or breach of contract or unlawful activity, or complying with or as required by any applicable law, governmental or regulatory requirements of any relevant jurisdiction;
  • conducting research, analysis and development activities (including but not limited to data analytics, surveys and/or profiling) to enhance SGBC’s products, services and/or operations, and/or otherwise for SGBC’s business operations and purposes;
  • storing, hosting, backing up (whether for disaster recovery or otherwise) of your personal data, whether within or outside Singapore, (collectively the “Purposes”),

 

We reserve the right to disclose personal data about the Company/ Applicant to SGBC’s third party service providers and agents (“Representatives”) that are engaged by SGBC’s to perform certain functions in connection with the Purposes, so long as disclosure is necessary to enable such Representatives to perform the said functions. The Representatives may be located within or outside Singapore.

Should you wish to withdraw your consent in part or whole, please send an email to SGBC at [email protected] and provide details of your withdrawal. Withdrawal of consent may impact or delay SGBC’s provision of products, services or activities to you and/or your employer.

Governing Law & Disputes

Membership and any disputes arising in connection with it, or any relevant terms and conditions, policies and notices or any matter related to or in connection with them are subject to the laws of Singapore.

Any dispute arising out of or in connection with membership, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by the courts of the Republic of Singapore.

Definitions of Terms Used

  • “SGBC Board” means the board of SGBC.
  • “General Meeting” means the meeting of Members held in accordance with SGBC’s constitution.
  • “Member” means an organisation who becomes a member of SGBC, and (where applicable) all of the Member’s staff, directors, employees, contractors and affiliates.
  • “Our”, “us” and any word connoting a similar meaning shall refer to Singapore Green Building Council (UEN: T09SS0112H), and all its directors, servants, agents, and employees.
  • “SGBC” means the Singapore Green Building Council (UEN: T09SS0112H)
